§ 1 Scope
(1) These terms and conditions apply to all contracts for the carriage of passengers as a hire car service with driver concluded between BoRaSiTo Limousine Service, owner Todor Georgiev (the "Provider"), and the customer.
(2) A consumer within the meaning of these terms is any natural person who concludes the contract for purposes that can be attributed predominantly neither to their commercial nor to their independent professional activity. A business is anyone who acts in the exercise of a commercial or independent professional activity when concluding the contract.
(3) Conflicting terms of the customer apply only if the Provider has expressly agreed to them.
§ 2 Conclusion of contract, advance booking
(1) The Provider carries out rides exclusively on prior order. Boarding without an order, for example on the street, is not possible.
(2) The customer's request, for example through the form, by e-mail or by phone, is not yet a binding offer by the Provider. The Provider makes the customer a quote stating the price. The contract is concluded when the customer accepts the quote and the Provider confirms the ride in text form (for example by e-mail) or orally.
(3) The customer must give correct and complete information in the request, in particular pickup address, destination, date, time, number of passengers and luggage, and for airport rides also the flight number. The Provider may make the confirmation conditional on this information being provided.
(4) At the latest in the confirmation, the Provider points the customer to these terms and sends them, or the link to them, in text form. They can be retrieved and saved at this address at any time. The customer may object to them being applied before the ride. In that case no contract is concluded.
§ 3 Service
(1) The Provider carries the passengers in a Tesla electric vehicle from the agreed pickup address to the agreed destination. A maximum of four passengers can be carried. The driver chooses the route unless the customer requests a particular route.
(2) If the agreed vehicle is unavailable at short notice, for example because of a defect or accident, the Provider may use an equivalent vehicle, provided this is reasonable for the customer. If that is not possible, § 7 applies.
(3) Special requests, for example a child seat, oversized luggage, animals or intermediate stops, must be communicated in advance. The Provider fulfils them where possible. Additional stops or changes of route after the start of the ride require agreement and may change the price. The Provider states the changed price beforehand.
§ 4 Prices and payment
(1) The price stated in the quote and confirmed in the confirmation applies. It is a fixed price for the confirmed ride and includes the travel costs. All prices are final prices.
(2) The Provider is a small business within the meaning of Section 19 of the German VAT Act (UStG). Value added tax is not charged or shown.
(3) Payment is made in cash at the end of the ride or by bank transfer against invoice by the payment date stated in the invoice, unless the confirmation says otherwise.
(4) Services beyond the confirmed ride, for example waiting time beyond the free time under § 5 or additional distance, are charged by the Provider only if the customer was informed of the price beforehand.
§ 5 Airport pickup and waiting time
(1) For airport pickups the customer states the flight number. The Provider checks the flight status and adjusts the pickup in case of delays.
(2) The free waiting time is 60 minutes from the actual landing of the stated flight. If no flight number was given, it starts at the agreed pickup time.
(3) For waiting time beyond that, § 4(4) applies.
(4) The customer plans their journey with a sufficient time buffer, especially for connecting flights, trains and appointments.
§ 6 Cancellation by the customer
(1) The customer may cancel a confirmed ride free of charge up to 24 hours before the agreed start of the ride. Cancellation requires text form (for example e-mail or message) or a phone call.
(2) If a flight to which the ride relates is cancelled, the customer may cancel the ride free of charge until the agreed start of the ride. On request the customer proves the cancellation.
(3) For a later cancellation the Provider charges a cancellation fee of 30% of the agreed fare if the cancellation is made 24 to 6 hours before the agreed start of the ride, and of 50% if it is made less than 6 hours before or the customer does not appear at the agreed time. The flat fees take into account the expenses usually saved and the usual possibility of using the vehicle elsewhere.
(4) The customer remains free to prove that the Provider suffered no loss or a substantially lower loss. In that case only the proven amount is payable.
(5) If the Provider does not meet the customer at the agreed airport pickup after the free waiting time has expired and the customer cannot be reached by phone either, paragraph 3 sentence 1 applies accordingly at 50%.
§ 7 Cancellation by the Provider
(1) If the Provider cannot carry out the ride for reasons it is not responsible for, for example force majeure, illness or a vehicle failure for which no replacement vehicle is available, it informs the customer without delay.
(2) In this case the Provider refunds any payments already made. Further claims of the customer are governed by § 8.
§ 8 Liability
(1) The Provider is liable without limitation for intent and gross negligence, for injury to life, body or health, under the Product Liability Act and, where it has given a guarantee, within the scope of that guarantee.
(2) In case of slightly negligent breach of an essential contractual obligation, that is, an obligation whose fulfilment is what makes proper performance of the contract possible in the first place and on which the customer may regularly rely, liability is limited to the foreseeable damage typical for this kind of contract. Otherwise liability for slight negligence is excluded.
(3) Delays for which the Provider is not responsible, for example due to traffic jams, road closures, accidents involving third parties or weather, do not give rise to liability of the Provider. Paragraph 1 remains unaffected.
(4) The Provider's statutory claims for damage to the vehicle for which the passenger is responsible remain unaffected.
(5) The keeper's liability under Section 7 of the German Road Traffic Act (StVG) for the death or injury of passengers remains unaffected. In commercial carriage of passengers for payment it can be neither excluded nor limited (Section 8a StVG).
§ 9 Passengers' obligations
(1) All passengers must wear seat belts during the ride. Children up to the age of 12 who are shorter than 150 cm may be carried only with a child restraint suitable for them (child seat) (Section 21(1a) of the German Road Traffic Regulations, StVO). The customer tells the Provider the age and height of the children when requesting the ride. Before the ride it is agreed which seat is used and who provides it.
(2) Smoking and vaping are not allowed in the vehicle. Food and drink are allowed only in agreement with the driver.
(3) The Provider may refuse the carriage or end it at a suitable place if there is an important reason, for example endangerment of safety, considerable intoxication that disrupts the ride, aggressive behaviour, dangerous items being carried, or if no suitable child seat is available for a child travelling. The claim to the fare for the distance already travelled remains.
(4) In case of considerable soiling of the vehicle, the Provider may claim the actual cleaning costs, which it proves. The customer remains free to prove that no or lower expense was incurred.
§ 10 No right of withdrawal
For contracts for the carriage of passengers there is no statutory right of withdrawal. The cancellation options under § 6 remain unaffected.
§ 11 Data protection
Information on the processing of personal data can be found in the privacy policy.
§ 12 Applicable law and place of jurisdiction
(1) The law of the Federal Republic of Germany applies. For consumers this choice of law applies only insofar as it does not deprive them of the protection of mandatory provisions of the law of the state in which they have their habitual residence.
(2) If the customer is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction for all disputes arising from the contract is Wiesbaden. For consumers the statutory places of jurisdiction apply.
§ 13 Consumer dispute resolution
The Provider is neither willing nor obliged to take part in dispute resolution proceedings before a consumer arbitration board.
§ 14 Final provisions
(1) Amendments and additions to the contract require text form.
(2) Should individual provisions of these terms be or become invalid in whole or in part, the validity of the remaining provisions remains unaffected. The statutory provision replaces the invalid provision.
(3) These terms exist in German and in English. The contract language is the language in which the Provider confirms the ride (German or English). Both versions have the same content. In case of deviations, the version in the contract language prevails.
